Undercliff Holdings is a private holdings and advisory firm. We acquire, steward and grow a focused portfolio of operating businesses — partnering with founders and management teams who want a genuinely long-term owner.
Or explore what we doWho we are
Undercliff Holdings is a private holdings and advisory business headquartered in the United Kingdom. Rather than trading in and out of positions, we build a focused portfolio of operating companies we genuinely believe in — and hold them, support them, and compound their value over years and decades.
We work with founders exploring succession, management teams seeking a patient capital partner, and shareholders who want an owner that will protect what they have built. Where it fits, we also provide growth capital and strategic advisory to businesses beyond our owned portfolio.
What we do
Four connected capabilities let us move from first conversation to long-term ownership, and support businesses in our portfolio and beyond it.
Buying majority or minority stakes in established, profitable operating businesses — with the intent to hold.
ExploreActive ownership — governance, board support and a steady hand that lets management focus on the long run.
ExploreFunding for expansion, acquisitions and new lines of business — structured to preserve what makes the company work.
ExploreIndependent counsel on capital structure, M&A, succession and direction — for owners facing consequential decisions.
ExploreHow we think
Value in a business accumulates the way a landscape forms — in layers, over time, through patient compounding rather than sudden moves. That belief shapes how we hold, govern and support every company in the portfolio.
We measure performance in years, not quarters, and give good businesses the runway to compound.
We back the people who built the company and structure every relationship so their interests lead.
Active, supportive ownership — governance and capital without interfering in the day-to-day.
Candour in private, restraint in public. Transactions are confidential until both sides choose otherwise.
How we work
A measured, four-stage process designed to be respectful of your time and the business you have built.
A confidential first conversation to understand the business, the people and what you want the next chapter to look like.
A focused, time-bound review of the financials, operations and market — carried out discreetly and at your pace.
A clear, durable structure — capital, terms and governance agreed with management, then put in place for the long term.
Years of supportive ownership: board engagement, follow-on capital and the operational help a growing business needs.
Where we focus
We are generalist by design but concentrate where we can add real ownership value. These are the areas we return to most often.
Our group
European Technical is our UAE operating company — a licensed home-maintenance and technical-services business serving Dubai with European standards of workmanship. It is a working example of how we own and support a business: backing the management team, investing in the operation, and letting it grow for the long term.

A few of the things owners most often want to know before a first conversation.
A private holdings company owns stakes in a portfolio of operating businesses and holds them for the long term, rather than trading in and out. Undercliff Holdings is exactly that — a private, long-term owner of a focused group of companies, with an advisory arm that supports businesses beyond the portfolio.
No. We acquire both majority and minority stakes. Many of our conversations begin with a founder who wants to take some chips off the table while keeping leadership of the business they built. We structure around the people and the company, not the other way round.
Indefinitely, by intent. We are not a fund with a fixed life and a deadline to sell. If a business is compounding and the partnership is working, there is no reason for us to exit — and we will say so up front.
Always. Early discussions are private and carry no obligation on either side. We are happy to work under a mutual non-disclosure agreement before anything substantive is shared.
Whether you are exploring succession, raising growth capital, or looking for a genuinely long-term owner for the company you have built, we would welcome a confidential conversation.
